LINK LICENSE
By posting a listing in the
film and media maker directory of BLAKEWANG.COM, (hereinafter the
"Directory"), this Agreement is entered into by and between BLAKE
& WANG P.A. ("HOST") and YOU, as follows:
Both parties wish to provide
a hyperlink, or link, to the other party's main web site page (a "Link
Exchange"). THEREFORE the
parties have agreed to the following terms and conditions:
1.
No money or other payment will transfer for such Link Exchange, it being
understood that the reciprocal transfer of hyperlinks shall serve as the
consideration for this agreement.
2.
Neither party shall sell, license, or permit others to use the other
party's contact information, which includes but is not limited to name, URL,
e-mail address, phone number, physical address, or other identifying
information.
3.
HOST shall provide a hyperlink from YOUR name on the Directory page to
YOUR web site. YOU shall provide a hyperlink from YOUR web site to HOST's web
site. Both parties hereby grant to
the other a non-exclusive right to establish such link and to list the other
party.
4.
HOST may terminate this agreement after any significant change to YOUR
web site.
5.
The term of this Agreement shall be a consecutive period of 6 months
commencing on the date Your listing is posted in the Directory. The termination
of either the HOST or YOUR web site shall terminate this contract.
6.
HOST represents and warrants to YOU and YOU represent to HOST that, as of
the date of execution of this Agreement, (i) each has duly registered the domain
name of its respective web site and possesses all rights necessary to use, and
grant the license to use, such domain name; and (ii) the content and materials
which each has placed within their respective web sites do not and will not
violate any applicable law, regulation or third-party right.
7.
This Agreement is made and entered into under the laws of the State of
California and shall be interpreted, applied and enforced under those
laws.
8.
Neither party shall use, display, or allow others to use the other
party's trade names, trademarks or service marks ("Marks") except in
connection with the performance of this Agreement.
9.
Neither party is authorized or empowered to act for or represent the
other party. The acts to be performed by the parties are solely in their
separate status as independent party contractors.
No attorney-client relationship shall be created, and YOU expressly waive
any claims thereto.
10.
YOU agree to post the following statement with HOST's hyperlink, and to
provide a 20 word or less description of YOUR web site, which shall not contain
vulgar, explicit, or indecent material.
"The law firm
of BLAKE & WANG P.A. provides entertainment services to the film,
television, and music industry."
